Article 1 - Service Overview

The Jolv platform, operated by Olifin B.V. (hereinafter "the Publisher"), is a SaaS solution for portfolio and deal flow management for investment professionals. It centralises financial, operational and strategic data on holdings.

Jolv is operated by Olifin B.V., a company registered in the Netherlands (KvK 94570779). Olifin B.V. carries professional liability insurance underwritten by Hiscox SA.

Article 2 - Nature of Service and Limitation of Liability

2.1 Decision support

Jolv is a decision support tool. The indicators provided (including the Runway Monitor, induced VT 100% and Stress Test simulations) are generated automatically based on declarative data.

2.2 No advisory

The Publisher does not provide investment advice, financial audit or accounting expertise. The User is solely responsible for management, investment or divestment decisions made on the basis of the information displayed.

2.3 Data accuracy

The Publisher disclaims any liability for inaccuracies in data from holdings or third-party sources (press news, web feeds).

Article 3 - Data Ownership

The User (the Fund) remains the exclusive owner of all financial and strategic data entered or collected. The Publisher is the exclusive owner of the software structure, algorithms and proprietary technology of Jolv.

Article 4 - Automated Collection

The User acknowledges that they act as Data Controller with respect to their holdings. By enabling automated collection modules, the User guarantees that they have obtained the necessary authorisations from the managers of the holdings for the sharing and processing of their financial data via the platform.

Article 5 - Intellectual Property

All intellectual property rights in the Jolv platform, including but not limited to source code, algorithms, valuation models, user interface design, documentation, and databases, are and shall remain the exclusive property of Olifin B.V.

The Client is granted a non-exclusive, non-transferable, non-sublicensable right to use the Platform for the duration of the subscription, solely for its internal business purposes. This license does not convey any ownership rights in the Platform or its components.

The Client shall not, and shall not permit any third party to: (i) copy, modify, adapt, or create derivative works of the Platform; (ii) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Platform; (iii) sublicense, sell, resell, transfer, or distribute the Platform or any part thereof; (iv) use the Platform to build a competing product or service.

Any data, valuation models, benchmarks, or proprietary datasets generated or computed by the Platform remain the intellectual property of Olifin B.V. The Client retains ownership of the data it uploads to the Platform (portfolio company data, financial statements, fund information).

Article 6 - Data Portability and Return

Upon expiration or termination of the subscription, the Client may export all of its uploaded data and generated reports within 30 calendar days following the effective date of termination. Olifin B.V. shall provide reasonable assistance for such export upon request. After the 30-day period, all Client data shall be permanently deleted from the Platform in accordance with GDPR requirements.

Article 7 - Limitation of Liability

To the maximum extent permitted by applicable law, Olifin B.V.'s aggregate liability under or in connection with this agreement shall not exceed the total fees paid by the Client during the 12-month period immediately preceding the event giving rise to the claim. Olifin B.V. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, or loss of investment value, even if advised of the possibility of such damages.

The valuations and analyses produced by the Platform are provided as decision-support tools and do not constitute investment advice, financial advice, or a recommendation to buy, sell, or hold any investment. The Client remains solely responsible for all investment decisions made on the basis of information provided by the Platform.

Article 8 - Applicable Law and Jurisdiction

These Terms are governed by Dutch law. Any dispute relating to their execution shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.
